Terms of Service

1. Agreement and eligibility

By downloading, accessing, or using PassNote, you agree to these Terms and the Privacy Policy. If you do not agree, do not use PassNote.

You must be legally able to enter this agreement. If you use PassNote for an organization, you confirm that you are authorized to accept these Terms for that organization.

2. The PassNote service

PassNote stores encrypted vault records for items such as logins, payment-card details, Wi-Fi credentials, and secure notes. Features may include encrypted synchronization, offline access, password generation, biometric unlock, supported password imports, and local weak or reused password analysis.

We may add, change, suspend, or discontinue features to maintain security, comply with law, or improve the service. We will provide notice when a change materially affects a paid plan and notice is required.

3. Accounts and encryption keys

You are responsible for your account, device security, encryption key, and activity performed through your account. Provide accurate information and notify support if you suspect unauthorized access.

You are responsible for maintaining any independent backup or recovery information you consider necessary. Do not rely on a device backup as a guaranteed method of restoring an encryption key or vault.

4. License and acceptable use

XApp Studio grants you a personal, limited, non-exclusive, non-transferable, revocable license to use PassNote on devices you own or control, subject to these Terms and applicable app store rules.

You must not:

• Use PassNote for unlawful activity or to violate another person's rights
• Attempt to bypass plan limits, purchase validation, authentication, or security controls
• Interfere with the service, distribute malware, or probe systems without authorization
• Reverse engineer or redistribute PassNote except where applicable law expressly permits it
• Use automated means that place unreasonable load on the service
• Rent, sublicense, sell, or transfer your license or entitlement

5. Free and PRO plans

PassNote offers a free tier and may offer PassNote PRO through Lifetime, Monthly, or Annual plans. The current free-tier limit and the features included with each plan are shown in the app and may be configured over time.

PassNote PRO may include unlimited vault storage, the Password Health Dashboard, an ad-free experience, and priority support. A subscription is not required to use the available free tier.

6. Purchases, subscriptions, and trials

Apple or Google processes all in-app purchases. The purchase screen shows the product, local price, currency, billing period, taxes where applicable, and material offer terms before you confirm.

6.1 Auto-renewing subscriptions

Monthly and Annual subscriptions renew automatically for the stated billing period unless you cancel through the applicable app store before renewal. The app store charges the payment method associated with your store account.

6.2 Free trials and introductory offers

A trial or introductory offer applies only when it appears on the purchase screen and you meet the store's eligibility rules. The purchase screen states the offer length and the price charged after the offer. Unless you cancel before the offer ends, the subscription converts to the paid, auto-renewing plan shown during purchase.

6.3 Cancellation and access

Manage or cancel a subscription in your Apple App Store or Google Play account. Deleting PassNote or deleting your PassNote account does not cancel a subscription. After cancellation, access normally continues through the paid billing period, subject to app store rules and applicable law.

6.4 Restore purchases

Use Restore Purchases in the app while signed in with the relevant PassNote and app store accounts. RevenueCat validates purchase receipts and restores the corresponding entitlement when available.

6.5 Refunds

Apple or Google controls billing and refunds for purchases made through its store. Request a refund through the store's process. Nothing in these Terms limits a refund or cancellation right required by applicable law.

6.6 Price and plan changes

Prices may vary by region, currency, tax, and store. The app store will provide any notice or obtain consent required for a subscription price change. If a payment fails, the store may apply a grace period, pause access, or end the entitlement under its rules.

7. Lifetime purchases

A Lifetime purchase is a one-time, non-consumable entitlement to the PassNote PRO features offered for that product while PassNote remains available and supported. “Lifetime” refers to the supported lifetime of the PassNote product and does not guarantee that every future product, separate service, or third-party cost will be included.

The entitlement is associated with the app store and PassNote account used for purchase and is not transferable. Store restoration rules apply. Mandatory consumer rights and applicable refund rules remain unaffected.

8. Advertising

The free tier may display Google AdMob ads when advertising is enabled and permitted. PassNote PRO removes in-app ads while the entitlement is active. Ad availability, consent, and personalization depend on your region, device settings, and applicable law.

9. Privacy and third-party services

The Privacy Policy explains how PassNote processes information. The service relies on third parties including Firebase, Apple, Google, RevenueCat, and AdMob. Their terms and policies govern their processing and platforms.

PassNote may contain links to third-party services. XApp Studio does not control their availability, content, or practices.

10. Termination and deletion

You may stop using PassNote at any time. Delete your account in the app or follow the instructions on the account deletion page.

We may suspend or terminate access if you materially violate these Terms, create security risk, fail to pay for a paid entitlement, or if law requires it. Where appropriate, we will provide notice and an opportunity to resolve the issue.

Sections that by their nature should survive termination remain effective, including intellectual property, payment obligations, disclaimers, liability limits, and general terms.

11. Disclaimers and liability

PassNote is provided “as is” and “as available” to the extent permitted by law. We do not guarantee uninterrupted operation, compatibility with every device, recovery after loss of an encryption key, or protection against every security threat.

To the extent permitted by law, XApp Studio is not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of data, or loss caused by unauthorized device access or a lost encryption key.

Where liability cannot be excluded, our aggregate liability is limited to the greater of the amount you paid for PassNote during the 12 months before the event giving rise to the claim or the minimum amount required by applicable law. These limitations do not apply where prohibited, including liability that cannot lawfully be limited.

12. App store terms

12.1 Apple App Store

If you obtained PassNote through Apple, these Terms are between you and XApp Studio, not Apple. XApp Studio, not Apple, is responsible for the app, maintenance, support, warranties, product claims, and intellectual-property claims, subject to applicable law. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable license terms.

Your license is limited to use on Apple-branded products you own or control as permitted by the Apple Media Services Terms and applicable Family Sharing or volume-purchase rules. You confirm that you are not located in a country subject to applicable United States embargoes and are not on a prohibited-party list.

12.2 Google Play

If you obtained PassNote through Google Play, your use is also subject to the Google Play Terms of Service. Google is not responsible for maintenance or support beyond obligations imposed by law or its platform terms.

13. General terms

These Terms and the Privacy Policy form the agreement between you and XApp Studio for PassNote. If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver.

You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, reorganization, or transfer of the service, subject to applicable law.

These Terms are governed by laws applicable to XApp Studio, without depriving you of mandatory consumer protections available in your place of residence. Courts with lawful jurisdiction may hear disputes. Before filing a claim, contact us so the parties can attempt to resolve it informally.

We may update these Terms when the service, business model, or law changes. We will update the effective date and provide additional notice when required. Changes do not retroactively reduce rights already earned under a completed purchase.
